1. Introduction

AlpAI GmbH ("Company," "we," "us," or "our") operates Jobclue, available at https://jobclue.ai (the "Site") and related services (collectively, the "Services"). These Terms constitute a legally binding agreement between you ("you") and AlpAI GmbH regarding your access to and use of the Services.

By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are prohibited from using the Services and must discontinue use immediately.

Supplemental terms posted on the Services are incorporated herein by reference. We reserve the right to modify these Terms at any time. Changes are effective upon posting the updated "Last Updated" date. Your continued use constitutes acceptance of revised Terms. The Services are intended for users aged 18 or older.

2. Our Services

The Services are not intended for distribution or use in any jurisdiction where such use would violate local law or require registration. Users accessing the Services from other locations do so at their own initiative and are solely responsible for compliance with applicable local laws.

The Services are not designed to comply with industry-specific regulations (HIPAA, FISMA, etc.). You may not use the Services in any manner that would violate the Gramm-Leach-Bliley Act (GLBA).

3. Intellectual Property Rights

We own or license all intellectual property rights in the Services, including source code, databases, software, designs, content, and trademarks (collectively, "Content" and "Marks"). These are protected by copyright, trademark, and other applicable laws.

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for personal, non-commercial use. No Content or Marks may be copied, reproduced, distributed, sold, licensed, or exploited for commercial purposes without our prior written consent.

All rights not expressly granted are reserved. Any breach terminates your license immediately.

Submissions: By submitting feedback, suggestions, or other information ("Submissions"), you assign all intellectual property rights in such Submissions to us. We may use Submissions for any purpose without compensation or attribution. You represent that Submissions are original, non-confidential, and do not violate third-party rights or applicable law. You are solely responsible for Submissions and agree to indemnify us for any losses arising from your breach of this section.

4. User Representations

By using the Services, you represent and warrant that: (a) registration information is accurate, current, and complete; (b) you will maintain accurate information; (c) you have legal capacity to agree to these Terms; (d) you are not a minor in your jurisdiction; (e) you will not access the Services through automated means; (f) you will not use the Services for illegal purposes; and (g) your use complies with all applicable laws.

We may suspend or terminate your account for inaccurate or incomplete information.

5. User Registration

Registration may be required to use the Services. You are responsible for maintaining password confidentiality and all account activity. We reserve the right to reclaim inappropriate usernames.

6. Purchases and Payment

We accept Visa, Mastercard, American Express, and Discover. You agree to provide current, complete, and accurate purchase information and promptly update payment details. Prices are shown in the currency presented at checkout and subject to change. Sales tax may be applied.

You authorize us to charge your payment provider for all applicable charges. We reserve the right to correct pricing errors and refuse or limit orders.

Refunds: We offer a 30-day money-back guarantee on initial purchases only. Subsequent purchases are not eligible. Refunds are processed to the original payment method within 5-10 business days. Unused credits are forfeited upon refund. We reserve the right to deny fraudulent or abusive refund requests.

7. Prohibited Activities

You agree not to: (a) systematically retrieve data without permission; (b) deceive or defraud users; (c) circumvent security features; (d) disparage the Services; (e) harass or harm others; (f) misuse support services; (g) violate applicable laws; (h) engage in unauthorized framing or linking; (i) transmit viruses or spam; (j) use automated systems or data mining tools; (k) remove proprietary notices; (l) impersonate others; (m) use passive collection mechanisms; (n) interfere with Services or networks; (o) harass our personnel; (p) bypass access restrictions; (q) copy or reverse engineer software; (r) use unauthorized automated systems; (s) use buying agents; (t) collect user data for unsolicited communications; or (u) use the Services for competitive or commercial purposes without authorization.

8. User Contributions

The Services may allow you to submit content ("Contributions"). Contributions may be publicly viewable. By submitting Contributions, you represent and warrant that: (a) they do not infringe third-party rights; (b) you own or have licensed all necessary rights; (c) you have obtained all required consents from identifiable individuals; (d) they are accurate and not misleading; (e) they are not unsolicited advertising or solicitation; (f) they are not obscene, harassing, or objectionable; (g) they do not promote violence; (h) they comply with applicable law; (i) they do not violate privacy rights; (j) they do not involve child exploitation; (k) they do not contain discriminatory content; and (l) they comply with these Terms.

Violation may result in termination of access.

9. Contribution License

We may access, store, and process information you provide per our Privacy Policy. You retain ownership of Contributions. We disclaim liability for Contributions and you agree to exonerate us from any related claims.

10. Social Media

You may link third-party accounts ("Third-Party Accounts") to the Services. You represent that you are entitled to grant us access without violating Third-Party Account terms. We may access and store Social Network Content from Third-Party Accounts. Your relationship with third-party providers is governed solely by your agreements with them. We are not responsible for Social Network Content. You may disable connections through account settings or by contacting us.

11. Services Management

We reserve the right to: (a) monitor for violations; (b) take legal action against violators; (c) refuse, restrict, or disable Contributions; (d) remove burdensome content; and (e) manage the Services to protect our rights and ensure proper functioning.

12. Privacy Policy

Our Privacy Policy (jobclue.ai/privacy-policy) is incorporated herein. We process data in the service regions described in our Privacy Policy and product settings.

13. Term and Termination

These Terms remain effective while you use the Services. We reserve the right to deny access, terminate accounts, and delete content at any time without notice for any reason, including breach of these Terms or applicable law.

If terminated, you may not register a new account under any name. We reserve the right to pursue legal remedies.

14. Modifications and Interruptions

We may modify, suspend, or discontinue the Services at any time without notice or liability. We are not obligated to update information or maintain availability. We are not liable for losses resulting from downtime.

15. Governing Law

These Terms are governed by the laws of Slovenia, excluding the UN Convention on Contracts for the International Sale of Goods. EU consumers retain protections under mandatory provisions of their country of residence. Both parties submit to the non-exclusive jurisdiction of courts in Ljubljana, Slovenia.

16. Dispute Resolution

Informal Negotiations: Parties agree to attempt informal resolution for at least 30 days before arbitration.

Binding Arbitration: Disputes shall be resolved by a single arbitrator under the European Court of Arbitration rules. Seat: Ljubljana, Slovenia. Language: English. Governing law: Slovenia.

Restrictions: Arbitration is limited to individual disputes. No class actions or representative proceedings are permitted.

Exceptions: Intellectual property disputes, theft/privacy claims, and injunctive relief claims are not subject to arbitration and may be brought in court.

17. Corrections

We reserve the right to correct errors, inaccuracies, or omissions and update information at any time without notice.

18. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT. WE DISCLAIM LIABILITY FOR: (a) CONTENT ERRORS; (b) PERSONAL INJURY OR PROPERTY DAMAGE; (c) UNAUTHORIZED ACCESS TO DATA; (d) SERVICE INTERRUPTIONS; (e) VIRUSES OR MALWARE; AND (f) LOSSES FROM CONTENT USE. WE DO NOT ENDORSE THIRD-PARTY PRODUCTS OR SERVICES.

19. Limitations of Liability

IN NO EVENT SHALL WE BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, REGARDLESS OF FORESEEABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE SIX MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU.

20. Indemnification

You agree to indemnify and hold us harmless from claims arising from: (a) use of the Services; (b) breach of these Terms; (c) violation of third-party rights; or (d) harmful acts toward other users. We may assume exclusive defense at your expense.

21. User Data

You are solely responsible for data you transmit. We perform routine backups but have no liability for data loss or corruption.

22. Electronic Communications

Electronic communications via the Services satisfy legal writing requirements. You consent to electronic signatures, contracts, and records, and waive rights requiring non-electronic signatures or records.

23. Miscellaneous

These Terms constitute the entire agreement. Failure to enforce any provision does not constitute a waiver. If any provision is unenforceable, the remainder remains effective. No joint venture, partnership, employment, or agency relationship is created. These Terms shall not be construed against us as the drafter. You waive defenses based on electronic form or lack of signature.
